1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you, whether personally or on behalf of an entity or contracting business ("you", "User", or "Contractor"), and VoiceBid, the operator of voicebid.app ("VoiceBid", "we", "us", or "our").

By registering for an account, accessing, or using VoiceBid on the web, mobile browser, or any related application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with all of these Terms, you are expressly prohibited from using VoiceBid and must discontinue use immediately.

You represent and warrant that you are at least 18 years of age, legally competent to enter into binding agreements, and have the legal authority to bind your contracting business or employer to these Terms.

2. Description of Service

VoiceBid is a software-as-a-service (SaaS) productivity solution specifically engineered for general contractors, plumbing, HVAC, roofing, electrical, landscaping, and trade professionals. The Service enables contractors to speak job site details and trade notes aloud, which VoiceBid then transcribes and structures using artificial intelligence (AI) algorithms into itemized line items, estimated scope, and exportable, client-facing PDF proposals.

Evaluation Credits: To allow new contractors to test the platform on real job bids, VoiceBid grants three (3) complimentary proposal credits upon initial account registration. Once complimentary credits are exhausted, continued proposal generation requires purchasing additional credit packs or subscribing to an active plan.

We reserve the right to improve, modify, upgrade, or temporarily suspend any aspect, feature, or tool within VoiceBid at our sole discretion with or without prior notice.

3. AI Disclaimer & Sole Contractor Responsibility

VoiceBid incorporates automated speech recognition models and generative artificial intelligence to interpret spoken audio and formulate proposal drafts. Because artificial intelligence models are probabilistic and dynamic, they are inherently prone to transcription omissions, misinterpretations, incorrect trade calculations, outdated material costs, and synthetic estimates.

You expressly agree that your reliance on any suggestion, calculation, line item price, or estimate generated by VoiceBid is conducted at your own risk. If you submit an AI-drafted proposal to a customer without verifying its accuracy, you assume 100% of the commercial, operational, and legal exposure.

4. User Accounts & Security

To access VoiceBid, you must register an account by providing an authentic email address and selecting a secure password. You agree to provide true, accurate, current, and complete information during registration and keep your account details updated.

You are exclusively responsible for maintaining the confidentiality of your login credentials and for any and all activities, actions, or transactions conducted under your account. You agree to notify VoiceBid immediately at support@voicebid.app if you discover or suspect any unauthorized use, security breach, or loss of account control.

Accounts are granted for single-organization or individual contractor usage. Sharing logins across unauthorized outside entities or distributing credentials to circumvent credit quotas is strictly prohibited.

5. Acceptable Use & Abuse Prevention

You agree to use VoiceBid exclusively for legitimate trade contracting and commercial proposal purposes in accordance with all applicable federal, state, and local laws. You shall not:

• Upload, record, or transmit audio or text containing unlawful, fraudulent, defamatory, obscene, harassing, threatening, or infringing material.
• Use VoiceBid to generate fraudulent bids, deceptive consumer estimates, or predatory trade contracts.
• Distribute unsolicited bulk email, spam, commercial solicitations, or deceptive marketing materials through or in connection with the Service.
• Introduce viruses, trojans, worms, logic bombs, scrapers, or other technologically malicious materials to the platform.
• Reverse-engineer, decompile, disassemble, or extract source code, proprietary algorithms, or model prompts underlying the VoiceBid application.
• Circumvent, disable, or tamper with security protocols, rate limits, proposal credit checks, or payment authorization gateways.
• Resell, sublicense, white-label, or rent access to VoiceBid to third parties without prior written authorization from VoiceBid.

We actively monitor platform telemetry and rate limits to safeguard system stability. Any violation of this Section may result in immediate suspension or termination of your account without refund.

6. Subscriptions, Credits & Payments

Credit System: Each proposal generation or major re-generation requires one proposal credit. New accounts receive three (3) complimentary credits upon registration. Additional credits may be purchased as pay-as-you-go credit packages or via recurring subscription plans at the prices posted in the application.

Payment Processing: All payment transactions, credit card handling, and billing processes are managed by our secure third-party payment processor, Stripe, Inc. ("Stripe"). By submitting payment details, you authorize Stripe to charge your payment instrument for all purchases, subscription fees, and applicable taxes. VoiceBid does not store complete debit or credit card account numbers on our servers.

Subscription Renewals & Cancellation: If you enroll in an automatic recurring subscription, your subscription will automatically renew at the conclusion of each billing cycle (monthly or annually) unless you cancel before the renewal date. You may cancel your subscription at any time via your account settings or Stripe customer portal. Cancellation halts subsequent billing cycles, and you will retain access to unexpired paid features through the end of the paid billing period.

Refund Policy: Because proposal credits and digital AI processing are consumed upon execution, all purchases of proposal credits and subscription fees are non-refundable once utilized, except where mandated by applicable consumer protection laws. If you believe a technical error resulted in an unfulfilled generation, you may contact our support team within 14 days of the charge for case-by-case evaluation.

Taxes: All fees posted exclude applicable state, federal, or local sales, use, value-added (VAT), or excise taxes, for which you are solely responsible.

7. Intellectual Property Rights

VoiceBid Property: The VoiceBid platform, website (voicebid.app), software code, graphic design, layouts, logos, trademarks, database schema, audio processing pipelines, and documentation are the exclusive property of VoiceBid and its licensors, protected by United States and international copyright, trademark, trade secret, and intellectual property laws. Except for the limited license granted herein, no rights are conveyed to you.

Contractor Ownership: You retain complete ownership of your business name, company logo, trade license numbers, customer contacts, job notes, and the final exported proposal documents created through your account.

Limited Processing License: You grant VoiceBid a non-exclusive, worldwide, royalty-free license to ingest, transcribe, process, and transmit your voice inputs, notes, and business branding strictly for the purpose of operating, delivering, improving, and maintaining the Service for you, in compliance with our Privacy Policy.

8. "As-Is" Service & No Warranties

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR TRADE OR PURPOSE, WORKMANLIKE QUALITY, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, continuous, timely, secure, or bug-free;
• AI audio transcription will accurately capture accents, trade jargon, equipment model numbers, or noisy ambient job site audio;
• Estimates, prices, material quantities, or scopes formulated by the AI will be accurate, current, complete, or free of financial error;
• Proposals generated will be accepted by homeowners, or satisfy statutory requirements for municipal permits or lien laws.

9. Limitation of Liability

• LOST REVENUE, LOST PROFITS, OR LOST BUSINESS OPPORTUNITIES;
• COMMERCIAL LOSSES RESULTING FROM UNDERBIDDING, OVERBIDDING, OR UNINTENDED PRICING ERRORS;
• UNFORESEEN MATERIAL SHORTAGES, DELAYS, OR UNREALIZED LABOR ESTIMATES;
• DISPUTES, CLAIMS, ARBITRATION, OR LITIGATION WITH HOMEOWNERS, SUB-CONTRACTORS, OR CLIENTS;
• LOSS OF BUSINESS DATA, PROPOSALS, AUDIO RECORDINGS, OR GOODWILL;
• SERVICE INTERRUPTIONS, SERVER OUTAGES, OR SYSTEM MALFUNCTIONS.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE APPLICATION, OR YOUR USE OF VOICEBID EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO VOICEBID DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages, so portions of the limitations above may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless VoiceBid, its parent companies, subsidiaries, affiliates, officers, directors, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way connected with:

• Your access to or use of the Service;
• Any proposal, contract, quote, or estimate delivered by you to homeowners, clients, or third parties (including claims relating to pricing discrepancies, defective workmanship, warranty disputes, or breach of home improvement agreements);
• Your violation or alleged violation of these Terms;
• Your infringement or violation of any intellectual property, privacy, or statutory rights of any third party;
• Your failure to comply with local contractor licensing regulations, building codes, or mandatory consumer contract disclosures.

11. Account Termination & Suspension

Termination by You: You may terminate your VoiceBid account at any time by ceasing use of the platform and cancelling any active recurring subscriptions through your billing portal.

Termination by Us: We reserve the right, without obligation, to suspend, disable, or permanently terminate your account, access to proposal credits, or access to the Service at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation:

• Breach or violation of any provision of these Terms;
• Suspected fraudulent, deceptive, abusive, or unlawful activities;
• Excessive chargebacks, payment disputes, or fraudulent payment transactions;
• System abuse, robotic scraping, security tampering, or excessive API load;
• Conduct that harms other contractors, customers, VoiceBid, or third parties.

Upon termination, your right to use the Service immediately ceases. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law & Dispute Resolution

These Terms, and any dispute or controversy arising out of or related to VoiceBid, shall be governed by and construed in accordance with the laws of the United States, without giving effect to any principles of conflicts of law.

Informal Dispute Resolution: Prior to filing any formal legal claim, you and VoiceBid agree to attempt in good faith to resolve any dispute, claim, or controversy informally by notifying the other party in writing at support@voicebid.app. The parties shall negotiate in good faith for at least thirty (30) days before initiating formal proceedings.

Class Action Waiver: You agree that any proceeding to resolve disputes will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

13. Changes to These Terms

VoiceBid reserves the right to modify, amend, or replace these Terms of Service at any time. When updates are published, we will revise the "Effective Date" posted at the top of this document. For material updates, we may provide prominent notice via our website or via email to registered users.

Your continued access to or use of VoiceBid following the posting of revised Terms constitutes your unconditional acceptance of the updated Terms. We encourage you to review this page periodically to stay informed of our policies.
